As a key indicator of our governance structure, we have designed our senior management structure in compliance with Corporate Governance Principles. Our Board of Directors, the highest governing body that directs our strategy and policies, consists of nine members in total: a Chairman, a Deputy Chairman, a General Manager, and six members. In accordance with Corporate Governance Principles, three of these members are independent. Our Board of Directors consists of non-executive members, with the exception of the General Manager, and the roles of General Manager and Chairman of the Board are held by different individuals.

In addition to the above-mentioned committees, in order to work towards the vision and mission of our Bank in line with the corporate governance approach and to make sound and timely decisions, it has the following committees:
Additionally, the Bank’s strategies are determined in meetings chaired by the General Manager with the participation of senior executives, in line with economic and industry expectations.
The Bank shares its economic and industry expectations with business units and gathers their expectations for annual projections and strategies. The data are reviewed and the Bank’s annual projections and strategies are prepared for presentation to senior management. The data presented to senior management are then evaluated. Subsequently, the final version of the Bank’s strategies and annual projection is prepared and submitted to the Board of Directors for approval by the Strategy and Planning Department.
The approved final projections and strategies are sent to the Bank’s senior management, announced across the Bank, and regularly monitored by the relevant units. During high-level meetings held by the Bank, these strategies and projections are reviewed, the degree of achievement of targets and industry developments are evaluated, and necessary actions are taken.
