Born in Ağrı in 1966, Mustafa SAYDAM graduated from Gazi University, Faculty of Economics and Administrative Sciences, Department of Business Administration in 1990. He began his career at VakıfBank in 1993 as an Assistant Auditor. After serving as an Auditor from 1996 to 1999, he held positions as Deputy Manager and Manager at various branches and departments. He served as Head of Human Resources at VakıfBank from 2005 to 2010 and as the Chairman of the Audit Board from 2010 to 2013. Appointed as Executive Vice President of VakıfBank in October 2013, Mr. SAYDAM held this position until January 2019. Having also served as Executive Vice President at Vakıf Emeklilik and as a member of the Board of Directors at Vakıf Pazarlama, Mr. SAYDAM was elected a member of the Board of Directors at VakıfBank’s 67^th Ordinary General Assembly on March 26, 2021, and was elected Chairman of the Board of Directors at the Board of Directors meeting held the same day. Mustafa SAYDAM is married with two children and speaks English.

Graduated from the Faculty of Economics at Dokuz Eylül University, Dr. ERTEM received his master’s degree and Ph.D. in Finance and Economics from Istanbul University, Faculty of Economics. He served as a lecturer at Istanbul University and THK University on topics including knowledge economy, economic policy, alternative growth, and monetary theory. Dr. ERTEM has authored numerous articles in the fields of economic policy and monetary policy. For many years, he was a columnist and TV commentator on economics for various media outlets and newspapers. In 2011, he received the “MÜSİAD Best Economics Writer” award. He has authored four books: Bitişler ve Başlangıçlar, Yeni Dünya Düzeni – Wiki Leaks, Dünyayı Sarsan 60 Gün, and Yatağını Bulan Nehir (Political Economy of the Erdoğan Era). Dr. ERTEM is currently the Chief Economic Advisor to President Recep Tayyip Erdoğan and a member of the Economic Policies Council. He was elected as a Board Member of VakıfBank on August 13, 2018, and has been serving as the Deputy Chairman of the Board of Directors since June 12, 2020.

Born in 1963 in Trabzon, Abdi Serdar ÜSTÜNSALİH holds bachelor’s degrees in Business Administration and Physics and master’s degrees in Public Administration and Information Systems. Mr. ÜSTÜNSALİH, served as Manager, Chairman, and Executive Vice President at Vakıflar Bankası T.A.O., has been serving as General Manager and Executive Board Member since May 27, 2019. Abdi Serdar ÜSTÜNSALİH is also a Board Member at Türkiye Sınai ve Kalkınma Bankası AŞ and Deputy Chairman of the Board of Directors at the Banks’ Association of Türkiye. Actively engaging in numerous charitable foundations and associations, Mr. ÜSTÜNSALİH is married and has two children.

Born in Bitlis on March 1, 1956, Vedat DEMİRÖZ is a graduate of Marmara University, Faculty of Business Administration. In his professional career, he has worked as a Certified Public Accountant and Lead Independent Auditor, and has served as an Audit Board Member at the Development Bank of Türkiye, a Financial Advisor to Istanbul Metropolitan Municipality Affiliates, and Vice Chairman of the Board of Directors at TOKİ Emlak Konut GYO AŞ. He currently serves as a founder and trustee and is a member of the management and audit boards of the Recep Tayyip Erdoğan Foundation, Zero Waste Foundation, Çamlıca Foundation, Fuat Sezgin Foundation, Birlik Foundation, Bezmialem Vakıf University, Bitlis Education and Promotion Foundation, Marmara University Alumni and Members Association, Istanbul Association of Certified Public Accountants and Accountants, and the Istanbul Chamber of Sworn-in Certified Public Accountants. He served in the Grand National Assembly of Türkiye (TBMM) as a Member of Parliament for Bitlis during the 24^th, 25^th, and 26^th legislative terms, and for Istanbul during the 27^th Legislative term. He served as Deputy Chairman of the AK Party from 2015 to 2025 and has been serving as Chief Advisor to the President since February 28, 2025. He was elected as an Independent Member at the 71^th Ordinary General Assembly of VakıfBank held on April 25, 2025. A member of the Corporate Governance Committee, Mr. DEMİRÖZ is married and is the father of 3 children.

Born in 1965, Dr. Adnan ERTEM completed his secondary education in Erzurum. A 1987 graduate of Istanbul University, Faculty of Political Sciences, Department of Public Administration, Dr. ERTEM completed his doctorate in sociology in 1997. He began his career in 1988 as an Assistant Auditor at the General Directorate of Foundations of the Republic of Türkiye, was appointed as an Auditor in 1991, and as a Chief Auditor in 2002. From 2002 to 2007, he served as the Istanbul Regional Director of Foundations. Serving as Deputy Undersecretary at the Prime Ministry of the Republic of Türkiye from 2007 to 2010, Dr. ERTEM was the General Manager of Foundations from October 14, 2010, to December 26, 2019. In December 2019, he was appointed Deputy Minister of Family, Labor and Social Services. Following the division of the said Ministry into the Ministry of Family and Social Services and the Ministry of Labor and Social Security on April 21, 2021, Dr. Adnan ERTEM continues to serve as Deputy Minister of Labor and Social Security. He was elected to the VakıfBank Board of Directors on October 28, 2010. Also serving as an Alternate Member of the Remuneration Committee and the Credit Committee, Dr. Adnan Ertem is married and has two children.

Şahin UĞUR completed his primary and secondary education in Malatya and Erzurum and graduated from Atatürk University, Faculty of Business Administration, Department of Business Management in 1979. He began his career at VakıfBank in 1984, serving as Deputy Manager, Manager, and Head until 2004, after which he served as Executive Vice President from 2004 to 2013. He has served as a Board Member at VakıfBank subsidiaries including VakıfBank International AG Vienna, Güneş Sigorta, Taksim Otelcilik, Atakule Gayrimenkul Yatırım Ortaklığı, Vakıf Menkul Kıymetler, and Vakıf REIT. He has been serving as a member of the VakıfBank Board of Directors since June 9, 2017. Elected as an Independent Member of the Board of Directors at VakıfBank’s 71^st Ordinary General Assembly, Şahin Uğur is also a member of the Credit Committee.

Born in Akçaabat/Trabzon in 1956, Halil ÇELIK completed his primary, middle, and high school education in Akçaabat and graduated from the Eskişehir Academy of Economic and Commercial Sciences, Department of Economics in 1980. He began his career in 1982 as an Assistant Auditor at Ziraat Bankası and subsequently served as an Auditor and Chief Auditor. At the same bank, he served as the Trabzon Regional Manager from 1995 to 1999 and the Erzurum Regional Manager from 1999 to 2002. He served as an Auditor at İller Bankası from 2002 to 2003, and as Executive Vice President at Halkbank and as a member of the Board of Directors at Halk Yatırım from 2003 to 2010. From 2010 to 2012, he served as a member of the Board of Directors of Ziraat Bank, Ziraat Leasing, Azer Türk Bank, Türkmen-Turkish Bank, and Ziraat Sigorta. From 2019 to 2024, he served as Vice Chairman of the Board of Directors at Vakıf Finansal Kiralama. He was elected as an Independent Member of the Board of Directors at the 70^th Ordinary General Assembly of VakıfBank on June 6, 2024. He also serves as a member of the Audit Committee, an alternate member of the Credit Committee, and a member of the Sustainability Committee.

Born in 1963 in Isparta, Haydar Kemal KURT graduated from Istanbul University Faculty of Law in 1984. He practiced as a freelance lawyer from 1986 to 2007. Between 2004 and 2007, he served as a Council Member at Istanbul Metropolitan Municipality and Güngören Municipality, as well as Chairman of the Law Commission of Istanbul Metropolitan Municipality. In 2007, he was elected as the 23^rd Term Isparta Member of Parliament and served as a member of the Constitutional Commission. Haydar Kemal KURT was elected as an Independent Board Member at the VakıfBank Ordinary General Assembly Meeting held on March 25, 2022. He is married and has three children.

Mr. YAKUT was born in Kayseri/Büyükkaramanlı on February 3, 1956. He graduated from Istanbul University, Faculty of Law. He served as a public prosecutor in Halfeti, Çamardı, Savaştepe, and Giresun, and as an Investigative Judge and Head of Department within the Ministry of Justice General Directorate of Prisons and Detention Houses. He resigned while serving as Ankara Public Prosecutor to become a deputy candidate and entered parliament in the 1999 elections as Kayseri Deputy from the Nationalist Movement Party. He served as Group Board Member for his party and as a member of the Constitutional Committee, and also served as a Board Member of Gençlerbirliği Sports Club. Sadık YAKUT, a Founding Member of the Justice and Development Party, served as the Vice President of the party. In the 22^nd, 23^nd, and 24^nd terms, he served as the Justice and Development Party Kayseri Deputy and Vice President of the Turkish Grand National Assembly. Mr. YAKUT was elected as a Board Member of VakıfBank on May 27, 2019. He is also a member of the Corporate Governance Committee and Remuneration Committee. He is married with three children.
