Our Bank was established by Law No. 6219 on January 11, 1954, with a founding capital of TL 50 million, for the purpose of making the best use of foundation resources, contributing to the country’s savings accumulation with a management and working approach required by modern banking, and using the collected savings in accordance with the requirements of economic development while protecting them. Subject to private law provisions, our Bank commenced operations on April 13, 1954. Since that date, we have continued to make significant contributions to the growth and development of the national economy, representing a deep-rooted tradition and experience in our country’s banking system.

In addition to our core banking products and services, we also engage in investment banking and capital market activities. Through our financial subsidiaries, we offer our customers a wide range of financial products, from financial leasing to factoring services, using the high technologies required by the modern era.

We continue our work unabated with our leading position in international capital markets, and we remain focused on long-term, cost-effective, non-deposit funding alternatives under various structures.

Furthermore, with a sense of social responsibility, we have undertaken a significant role in the Turkish financial sector as an exemplary institution through our long-standing contributions to sports, culture, and the arts.

On September 19, 2025, shares with a total nominal value of TL 152,000,000, corresponding to 1.53% of the Bank’s issued capital, were sold to institutional investors resident outside of Türkiye through an accelerated book-building method at a price of TL 27.07 per share, for a total of TL 4,114,640,000. Consequently, the share of the Türkiye Wealth Fund decreased from 74.79% to 73.26%.

- Disclosures Made to Borsa Istanbul for Informing Shareholders

Pursuant to the CMB Communique on Material Events Disclosure (II-15.1), the Bank recorded 334 material event disclosures in 2025 on issues affecting the Bank and its operations. These disclosures are published on both the Public Disclosure Platform (www.kap.gov.tr) and the Bank’s website (www.vakifbank.com.tr).

Information on Our Bank’s Share Buyback Program

As a result of the market fluctuations caused by the global Coronavirus (Covid-19) pandemic, our Bank initiated a share buyback program on March 17, 2020, in accordance with the announcements of the Capital Markets Board of Türkiye dated July 21, 2016, and July 25, 2016. Under this authorization, a share buyback transaction of 39,929,217 nominal shares was carried out for a sales amount of TL 158,090,486.

To minimize the negative impact of the earthquakes centered in Kahramanmaraş on February 6, 2023, on financial markets, to prevent potential investor losses, and to avert possible value depreciation in the shares of companies traded on Borsa İstanbul, it was deemed beneficial for our Bank to conduct a share buyback. This was done in accordance with the provisions of the Turkish Commercial Code and Capital Markets Legislation, and pursuant to the Capital Markets Board of Türkiye’s announcements of July 21, 2016, and July 25, 2016. Consequently, the Board of Directors was re-authorized for a share buyback program on February 9, 2023. Under this authorization, a share buyback transaction of 40,940,783 nominal shares was carried out for a sales amount of TL 374,275,263.97. Thus, under the specified authorizations, a share buyback transaction of 80,870,000 nominal shares was conducted for a sales amount of TL 532,365,748.97.

On March 20, 2025, to protect the value of our shareholders’ investments and ensure price stability for our Bank’s shares, the Share Buyback Program was initiated. The maximum nominal amount under the authorization granted in 2023 was increased from 150,000,000 to 250,000,000, and the maximum sales amount was raised from TL 1,000,000,000 to TL 12,000,000,000, valid for a maximum of three years, for the buyback of our Bank’s publicly traded shares on Borsa İstanbul. Within 2025, a share buyback transaction of 83,210,403 nominal shares was conducted under the program for a sales amount of TL 2,132,103,434.

Under our Bank’s buyback program, a total of 164,080,403 nominal shares were repurchased for a sales amount of TL 2,664,464,800.
